Trading in NCBA Group shares has been suspended for nine days, from today, October 21, to November 2, 2026. The pause allows the transfer of a 66% controlling stake to South Africa’s Nedbank Group. Trading is expected to resume on November 3.
The suspension runs from about the close of business on October 21 so the share register can be reconciled. The shares will then be transferred to Nedbank through a block trade on the Nairobi Securities Exchange (NSE) on November 3, the same day payment to tendering shareholders begins. That payment is made in a mix of Nedbank shares and cash.
The deal dates back to an offer announced in January 2026. Nedbank proposed to buy 66% of NCBA’s issued share capital, or 1,087,362,891 ordinary shares. The tender offer closed on July 10, 2026, with valid acceptances covering 79.9% of issued share capital. Because demand exceeded the target, the excess was scaled back pro rata to bring Nedbank’s holding to about 66%.
Regulatory clearance was secured before the suspension. The Central Bank of Kenya approved the acquisition on August 28, 2026, under Section 13(4) of the Banking Act. With all required approvals in place, the deal has closed and NCBA is now a Nedbank subsidiary.
NCBA is not leaving the stock market. It will remain listed on the NSE, with the remaining 34% of shares continuing to trade publicly. The group is a financial services conglomerate headquartered in Nairobi, formed in 2019 through the merger of NIC Group and Commercial Bank of Africa, with banking subsidiaries in Kenya, Uganda, Tanzania and Rwanda.
For Nedbank, the acquisition marks its first major foothold in East Africa. NCBA is considered strategically important to the South African lender’s expansion into the region. Nedbank’s chief executive, Jason Quinn, has described the transaction as a decisive step in the group’s African growth strategy. Customers are expected to gain access to Nedbank’s cross-border and sector expertise over time.
For investors, the practical effect is simple. Shareholders cannot buy or sell NCBA shares during the suspension, and normal trading is expected to resume after the November 3 transfer. Anyone holding the stock should watch for official notices from the NSE and NCBA in case of any changes.
