Court clears path for Kenya Hospital Association’s December AGM

The Kenya Hospital Association (KHA), which oversees Nairobi Hospital, is set to hold its Annual General Meeting (AGM) in December following a recent court ruling that lifted prior restrictions. This development comes after a ruling by Hon. Justice P. Mulwa on November 4, 2024, in a case filed at the Milimani High Court’s Commercial & Tax Division, which cleared the way for the AGM to proceed.

Justice Mulwa’s decision discharged the interim orders issued in September, which had prevented the KHA from calling, conducting, and presiding over the AGM originally scheduled for late September. The court order now mandates that the AGM be convened within the next 30 days. “The interim orders of the Court issued on 24th September 2024 restraining the Hospital from calling, conducting and presiding over the Annual General Meeting (AGM) scheduled for 27th September 2024 are hereby discharged,” the statement from KHA confirms.

In accordance with the court’s directive, the KHA has scheduled the AGM for December 4, 2024, at 2:00 PM, to be held at The Nairobi Hospital, Convention Centre, 2nd Floor. The meeting will follow a hybrid format, allowing for both physical and virtual attendance. “Members are encouraged to continuously monitor the Company’s website for further details on how to register for virtual participation at the Annual General Meeting should they choose that mode of participation,” the KHA stated, highlighting their commitment to inclusive access.

The ruling also instructs KHA to report back to the court within 30 days after the AGM has been conducted. This step aims to ensure compliance with both the association’s internal policies and external regulatory frameworks. “The Plaintiff (Kenya Hospital Association) shall report back to the court within 30 days after the meeting has been held,” reads an additional mandate from the court order, emphasizing the requirement for accountability.
